USANA Extends Sponsorship of US Speedskating

USANA Announces Third Quarter Financial Results

SALT LAKE CITY--USANA Health Sciences, Inc. today reported financial results for its fiscal third quarter ended October 1, 2011.

Net sales in the third quarter of 2011 increased by 6.3% to $143.5 million, compared with $135.0 million in the prior year period. This net sales growth was driven by higher product sales in the Company's Asia Pacific region. In addition, favorable currency exchange rates added $5.1 million to the quarter's net sales growth. Net earnings in the third quarter decreased as compared with the prior year period by 3.6% to $12.4 million due to a 172 basis point increase in operating expenses, which was partially offset by improved gross profit margins. The increased operating expenses were predominantly due to an increase in Associate Incentives. Earnings per share for the quarter increased 2.5% to $0.81, compared with $0.79 in the third quarter of the prior year. This increase resulted from a decreased number of diluted shares outstanding from share repurchases over the last 12 months and was partially offset by lower net earnings.

Chief Executive Officer Dave Wentz said, “During the third quarter, our executive team continued to work closely with the Company's Associates to meet challenges and drive performance. At our 19th annual International Convention in August, we hosted thousands of Associates in Salt Lake City, Utah and made several exciting announcements, including the opening of France and Belgium in the first quarter of 2012. Our entry into these two markets will follow our expansion into Thailand in the fourth quarter of 2011, and is consistent with our plan to be more aggressive in our international expansion efforts. The announcement of these new markets has been well received by our Associates and will help drive momentum as we finish off 2011 and begin 2012.”

Net sales in the Asia Pacific region increased by 12.6% to $84.5 million, compared with $75.0 million for the third quarter of the prior year. This improvement was due to strong sales growth in the Philippines, South Korea and BabyCare, the Company's operating entity in China. BabyCare's sales increased $2.7 million during the quarter, in comparison with partial third quarter 2010 operating results. The Company acquired BabyCare on August 16, 2010. In the third quarter, the number of active Associates in this region decreased by 6.3%, which was primarily the result of an anticipated decline in the number of Hong Kong Associates. This decline, however, was partially offset by impressive growth in the number of active Associates in the Philippines, South Korea and BabyCare. In particular, Associate counts increased 87.5% in the Philippines and 50% in each of South Korea and BabyCare.

During the third quarter of 2011, net sales in the North America region decreased by 1.6% to $59.0 million, compared with the third quarter of the prior year. The number of Active Associates in North America during this period also declined by 12.1%, compared with the third quarter of the prior year.

Mr. Wentz added, “We continue to develop our strategy for North America, which focuses on personalization and innovation, coupled with market-specific incentive offerings. This strategy resulted from information gathered from recent market research and will be implemented initially in North America and is intended to drive long-term growth in this region. While we recognize that North America is a mature direct selling region and a difficult region to grow for direct selling companies, we believe that this region will grow with time, effort and the successful execution of our strategy.”

The Company continued its successful track record of generating cash from operations during the third quarter and fiscal year to date. Cash generated from operations totaled $22.1 million for the third quarter and $53.5 million for the first nine months of 2011. As of October 1, 2011, the Company had approximately $36.3 million in cash and cash equivalents. During the quarter, the Company repurchased a total of 268,000 shares under its authorized stock repurchase program for a total investment of $7.4 million and ended the quarter with $29.0 million remaining under the current authorization.

We now project consolidated net sales to be between $577 million and $581 million for the year, versus our previous outlook of $565 million to $575 million. USANA Funds Health Study at Utah State University

SALT LAKE CITY, Oct. 4, 2011-- There are more than 100 days each year with poor air quality in Cache Valley, Utah. Poor air quality impacts health by limiting lung function and by weakening defenses against illness; children and the elderly are at higher risk.

A new partnership between the Applied Nutrition Research team at Utah State University and USANA Health Sciences, a Utah-based global nutritional supplement company, was announced this week. Clinical research to study the effects of nutritional supplementation to combat health consequences associated with Cache Valley's poor air quality will begin soon.

Cache Valley experiences poor air quality most often during winter months when high-pressure systems act as a lid to trap pollutants from car exhaust and wood burning chimney fires. The problem isn't specific to Cache Valley. Other areas of the state, including the Salt Lake Valley, experience poor air quality and lengthy inversions. Air pollution is a global issue.

Led by Dr. Michael Lefevre, a USTAR professor in USU's College of Agriculture focusing on overall human health and personalized medicine, the USTAR-funded Applied Nutrition Research team will conduct the clinical research study to understand the connection between dietary antioxidants and the impact of PM2.5, small particulate pollution, on the respiratory systems of at-risk groups. Recruitment for the study begins immediately.

"PM2.5 lodges in the lung and causes irritation and inflammation," says Dr. John Cuomo, USANA Executive Director of Research and Development. "This inflammation goes on to induct airway constriction and reduce lung function. Our supplement mix may significantly reduce the inflammatory cascade started by PM2.5 and maintain better lung function in supplemented subjects vs. placebo."

The state-of-the-art USTAR BioInnovations Center located on the Utah State University Innovation Campus provides the research infrastructure for the clinical study.

BabyCare Ltd, a China-based direct selling company that produces and sells nutritional products for families and infants has recently been acquired USANA Health Sciences, Inc. The Chinese company was originally founded in 1999, and was headquartered in Beijing, with operations in 21 cities and 16 provinces.

Recent reports have indicated that BabyCare's products have been sold through a consistently increasing sales force that utilizes the standard MLM commission-based compensation plan; which operates within the legal confines according to the laws of The Municipality of Beijing. The company has been working to obtain similar licenses in the surrounding provinces as well. These direct selling licenses allow the company to engage non-employee distributors aside from the company's traditional service centers.

USANA's short term objective within this acquisition to gain experience in the Chinese direct selling market. USANA named in Outside Magazines Best Places to Work

Usana, a direct marketer of health supplements, was ranked 17th out of 30 companies that made the list.

USANA named in Pyramid Lawsuit

A Clark County man has sued Usana Health Sciences Inc., alleging the big direct marketer of nutritional and cosmetic products operates as a pyramid scheme in which independent distributors must focus on signing up more distributors as opposed to selling products.

Joseph Chirco, in his lawsuit filed last week in Clark County District Court, seeks to have the suit certified as a class-action representing all Nevada Usana distributors. His Las Vegas attorney is John Nowakowski.

Chirco claims to have lost money by purchasing a Usana distributorship.

He alleges violations of Nevada's deceptive trade practices act and accuses Usana of consumer fraud, of failing to disclose all required facts about its marketing program, of unjustly enriching itself at the expense of distributors and of civil conspiracy.

In its annual report filed with the Securities and Exchange Commission, the company said it's careful to comply with marketing laws.

"Associates are encouraged to build and manage their own business group by recruiting, managing, and training others to sell our products. Associates are compensated on sales generated by their business group, and they can also receive compensation by purchasing products at wholesale prices and selling them at retail prices," Usana said.

USANA Profits Fall After Arbitration Award

Usana Health Sciences on Monday reported a significant drop in profits for 2008 because of a previously reported $7 million arbitration award against it and fluctuations in foreign currencies.

Usana shares dropped 7.7 percent to finish at $20.08 after it projected an increase of earnings per share of about 4 percent for 2009 and said its net would be "dramatically reduced" by currency changes.

The direct marketer of nutritional supplements and beauty products reported net earnings in 2008 of about $30 million, compared with $45 million in 2007. For the fourth quarter, net earnings were $4.4 million, compared with $10.9 million in 2007.

UTAH AG Under Fire For USANA Address

Utah Attorney General Mark Shurtleff under fire this week. First he is being investigated by the Lt. Governor's office for possibly using the state seal to promote a private company. This controversy compounded by the fact that the company, Digital Bridge of Orem, donated $10,000 to his campaign two weeks before he penned the letter, that he sent to other attorney's general across the country. In the wake of the controversy, we went hunting on the Internet and we found a video on YouTube dating back to 2004. Shurtleff is seen giving a welcoming address to the Annual meeting of Usana distributors. Usana is a multi-level marketing company. These types of companies have been criticized in the past, some even calling them pyramid schemes.

USANA board forms panel to evaluate buyout offer

The nutritional, personal care and weight management products company said earnings per share fell to 46 cents in the first quarter of 2008 from 64 cents in the first three months of 2007. Net income was $7.7 million the first quarter of this year compared with $11.6 million last year.

Usana, a direct sales or multilevel marketing company, said it saw a decrease of the number of people selling its products in North America along with a net sales decrease of 3.5 percent to $62.3 million. The executive vice president of operations for nutritional and skin care products company USANA Health Sciences Inc. sold 40,000 shares of common stock, according to a Securities and Exchange Commission filing Wednesday.

In a Form 4 filed with the SEC, Fred W. Cooper reported selling the shares on Monday for $32.10 to $32.73 apiece. Cooper also reported gifting 5,000 shares on Feb. 4.

Insiders file Form 4s with the SEC to report transactions in their companies' shares. Open market purchases and sales must be reported within two business days of the transaction.

Usana reported that sales in the fourth quarter of 2007 increased by 10.8 percent and reached $108.7 million, compared with $98.1 million in the fourth quarter of the 2006 fiscal year. Its fourth quarter profit, however, fell slightly to $11.06 million, or 67 cents per share, from $11.1 million or 61 cents per share in the same quarter a year earlier.

The company said that during the fourth quarter in North America it experienced softer-than-expected sales and associate numbers.

"We attribute this decline primarily to the toll that various false allegations have taken on our associates during 2007," said Dave Wentz, the company's president. "We believe that these challenges are now largely behind us."

Usana received notification from the SEC than its informal inquiry is complete and that no "enforcement action" is being recommended, the company said in a statement.

The SEC probe, begun in March, was sparked by comments made by trader Barry Minkow in the Wall Street Journal's "Heard on the Street" column. The newspaper cited Minkow, who served several years in prison for stock fraud in the 1990s, as saying the company's sales model required the constant recruitment of new distributors and that the pool would eventually dry up.

USANA Shares Jump on SEC Inquiry Closure

Usana Health Sciences shares soared Friday after the nutritional and skin care products company said the Securities and Exchange Commission had closed its inquiry into the company's marketing model.

Shares jumped $13.91, or 39.1 percent, to $49.48 Friday.

In addition to closing its inquiry, Usana said the SEC didn't take any action against the company. The investigation began after a San Diego-based investigator, Barry Minkow, accused Usana of fraud and said its direct-marketing business model was a pyramid scheme.

Goldman Sachs analyst Simeon Gutman said the closure of the SEC inquiry "should further put to rest any remaining concerns about the integrity of Usana's business model."

Usana sells its products to a network of at-home distributors who recruit new employees into the network and then receive commissions on the recruits' purchases.

BurnLounge Inc. has eliminated the "network marketing" portion of its business that was targeted by the FTC, the company said.

The FTC's complaint accused BurnLounge of making deceptive earnings claims for members who paid between US$29.95 and $429.95 a year for one of the company's product packages. Members were supposed to be paid to sell digital music and movies to others, but the FTC alleged that BurnLounge's compensation program primarily provided payments for the recruiting of new participants, not on the retail sale of products.

Gilbert A. Fuller, the company's chief financial officer, and Jerry G. McClain, the Usana board's "audit committee financial expert," had both been described as certified public accountants in several of the company's filings with the Securities and Exchange Commission, the paper reported.

Both officials are former CPAs. Fuller's certification expired in 1986, and McClain's in 2004. A valid certification isn't required for their jobs, but holders of expired licenses may not describe themselves as CPAs under Utah law, the paper reported.

Shares of USANA Health Sciences tumbled Thursday after The Wall Street Journal reported on a 500-page critique of the company sent to the Security and Exchange Commission, the FBI and the criminal division of the IRS by the San Diego-based Fraud Discovery Institute. The report was penned by Barry Minkow, a stock-fraud felon turned private investigator, who has received praise from the FBI for previous probes. Most of us dream of winning the lottery, of getting a call out of the blue to say we're the sole beneficiary of a long-lost rich relative's estate. What wouldn't we do if only we had financial freedom?

Multi-level marketing (MLM) companies promote such dreams -take charge of your life, work the hours you choose and earn unlimited amounts. Products or services are sold direct to customers via a network of sales representatives, who may also be encouraged to recruit more people, who recruit more people and so on. With a solid team under you and group commissions passing through your "business centre", MLM companies promise a path to financial freedom.

While MLMs are legal in New Zealand, pyramid schemes are not. In a pyramid, earning money relies solely on recruiting new people into the scheme; those on higher levels earn more than those below, but ultimately it becomes impossible to recruit enough people for newcomers to make money. MLMs, on the other hand, offer a commercially viable product and the opportunity to earn a living through repeat sales.

Diet supplements company Usana uses the MLM model. Founded in 1992, it listed on the Nasdaq stock market in 1993. Reported net earnings for the first quarter of 2006 were $US9.6 million - a nice earner for majority shareholder and company founder Dr Myron Wentz.

Mogul gives Napoleon a boost

A native son of Napoleon, who has achieved worldwide success in health and nutrition, wants to give a boost to folks back at home.

Myron Wentz, a microbiologist and immunologist who founded USANA, a vitamin and nutrition supplement company based in Salt Lake City, and a whole body disease treatment center in Mexico, has pledged some serious money to a Napoleon school improvement project.

Wentz has offered to match $200,000 in donations to help pay for a new wooden gym floor, bleachers and locker, and weight and wrestling rooms.

Randy Schumacher, Napoleon School Board president, said the work will start this summer on the gym floor, bleacher and possibly locker room phases of the project.

USANA Profits Up

USANA Health Sciences Inc., a maker of nutritional and beauty products, said Tuesday its fiscal first-quarter profit rose 7 percent as sales climbed.

For the quarter ended April 1, the company, which sells its products mainly through independent distributors it calls associates, earned $9.6 million, or 50 cents per share, up from $8.9 million, or 45 cents per share, during the same period a year ago.
