American Health Sciences ( AMS ) Files Bankruptcy

AMS Health Sciences, an Oklahoma City-based marketer of diet and health aids, is seeking bankruptcy protection while it challenges a nearly $1 million jury award that the company concedes it cannot pay.

A jury last month ordered AMS to pay $985,000 to the former owner of Heartland Cup, a Pontotoc County Styrofoam cup plant that AMS bought in 2005.

The jury found AMS violated various agreements with Truett McCarty, the controlling shareholder of the cup company. AMS paid McCarty $200,000 and gave him $200,000 shares of its common stock in exchange for 83 percent of the Heartland Cup.

On Thursday, AMS filed for Chapter 11 bankruptcy protection while the company pursues and appeal of the judgment based on "approximately 19 substantive points of error that it believes occurred in the trial," according to an AMS statement issued late Thursday.

AMS said McCarty refused to negotiate a settlement with the company although he is aware that the business cannot afford to pay the judgment, the statement said.

NEW YORK, Nov. 9 /PRNewswire/ -- The American Stock Exchange LLC(R) (Amex(R)) announced today its final determination to remove the common stock (the "Securities") of AMS Health Sciences, Inc. from listing on the Exchange, and filed an application on Form 25 to strike the Securities from listing with the Securities and Exchange Commission (the "SEC"). The delisting will become effective on November 19, 2007 unless postponed by the SEC.

Pursuant to its rules, the Exchange provided notice to AMS Health Sciences, Inc. of the decision to delist the Securities and an opportunity to appeal the decision to a panel designated by the Exchange's Board of Governors.

In addition to this press release, the Exchange will provide public notice of its determination on its website. Notice will remain posted on the website until the delisting is effective.

The Oklahoma City marketer of diet aids, nutritional supplements and skin care products has settled two lawsuits and closed a lease/purchase agreement with a Texas company to take over an idled Pontotoc County Styrofoam cup plant AMS bought last year.

AMS President Jerry Grizzle said the company's next goal is to attract attention from analysts, fill vacant board seats and take steps to assure that its stock can remain listed on the American Stock Exchange.
