Herbalife Cleared by Government Investigations

Npros.com | 2/4/2016

Government investigations recently cleared Herbalife of allegations of criminal wrongdoing. Probes by the US Attorney's office and the FBI failed to find sufficient evidence that Herbalife has a fraudulent business model.

The investigations also cleared investor Bill Ackman's Pershing Square Holdings of manipulating Herbalife's stock price. Ackman has a $1 billion short position against Herbalife and has been vocal about his belief that the company will deteriorate with or without government intervention. In response, Herbalife has accused Ackman of attempting to "drive down Herbalife's stock in order to enrich himself and his investors."

There are still several civil investigations, including those by the FTC and SEC, focusing on the battle between the two companies.

Herbalife Files Petition to Seek User Identity from Twitter

Npros.com | 7/26/2015

Herbalife has filed a petition in Cook County (IL) Circuit Court to require Twitter Inc. to identify the person behind the account posting negative comments about its products. The user behind the account @AfueraHerbaLIES alleged in two posts that Herbalife products were "toxic" and likely to be recalled.

Twitter's privacy policy prevents it from identifying a user without a court order.

"We are not going to sit back and let someone make false and defamatory statements about our company," said a company spokesperson.

For the past two years, Herbalife has been defending itself against allegations by hedge fund manager Bill Ackman that it operates an illegal pyramid scheme and will ultimately be shut down by regulators. Herbalife has strongly denied the allegations.

Last year, the FTC launched an investigation of Herbalife's business practices, which is ongoing.

Ackman Claims Herbalife Execs Hiring Lawyers

Npros.com | 4/16/2015

April 13, 2015 -- Investor William Ackman, whose company made a $1 billion short bet against Herbalife in 2012, said at a investor summit that Herbalife's top executives are hiring lawyers in response to government investigations. Ackman claims Herbalife is a pyramid scheme where representatives earn more money by recruiting new participants than they do by selling product.

Herbalife's shares are up 14 percent year-to-date.

Ackman did not disclose how he knows that Herbalife's executives are looking for independent legal representation, saying, "We know this through a source we deem reliable."

Herbalife Responds To Statements Made by Bill Ackman

Press Release | 4/16/2015

April 13, 2015 LOS ANGELES--Herbalife today issued the following statement in response to statements made today by Bill Ackman:

“There is simply no truth to Bill Ackman's statements and this is just another stunt in his campaign, a campaign that is reportedly under criminal investigation by the FBI and the Department of Justice, to drive down the stock price in an effort to enrich himself and his investors in advance of options expiring on Friday. Unfortunately we have seen this pattern of activity before, especially before the third Friday of each month, when certain options expire.”

Herbalife Lawsuit Dismissed

Npros.com | 3/22/2015

Herbalife stock jumped approximately 13% after a lawsuit filed by investor Bill Ackman against the company was dismissed by the court. Ackman has accused Herbalife of running a pyramid scheme and using deceptive marketing practices. U.S. District Judge Dale Fischer dismissed thge case, citing insufficient proof to show that Herbalife engaged in fraud. In addition, the judge stated that since no fraud was proven, Herbalife shareholders could not claim that any losses they suffered were due to alleged misrepresentation by the company.

There have been recent reports that employees of Ackman have been contacted by the FBI and there is an investigation into whether false statements about Herbalife's business model were made by Ackman in order to lower its stock price. Ackman had a $1 billion short position in Herbalife shares in December 2012 when he began accusing the company of making money by recruiting new representatives and not from sales of product.

Ackman also reportedly unsuccessfully tried to lobby Congress members for an investigation into Herbalife by the Federal Trade Commission and other federal and state regulators.

Herbalife released the following statement: "Herbalife welcomes the decision by the U.S. District Court for the Central District of California to dismiss the case. As we have consistently stated, we are confident in the strong fundamentals of our business model and remain committed to helping people and communities improve their nutrition."

Herbalife Announces Results of Study on Distributors and End Users in the US

Press Release | 6/12/2013

Company Also Appoints New Vice President of Consumer & Distributor Insights

June 11, 2013, LOS ANGELES--Herbalife Ltd. today released the results of a study conducted to determine the penetration of Herbalife distributors and end users in the U.S. Herbalife engaged Nielsen, a leading global provider of information and insights into what consumers watch and buy, to conduct the research.

Conducted online during April and May of 2013, the survey was completed without intervention from Herbalife and the Company's sponsorship was not disclosed. The survey was conducted among a nationally representative sample of entirely adults, aged 18 and over in the U.S., and balanced by key demographic indicators from the U.S. census, including age, gender, race, personal income and geographic region. With a sample size of 10,525 consumers, the survey had a margin of error of +/- 0.96%.

According to the research, 3.3% of the general population reported that they had purchased Herbalife products within the past three months, indicating that Herbalife currently has approximately 7.9 million customers when projected to the total U.S. adult population. Herbalife customers would include their distributor network, which totaled approximately 550,000 in the U.S. as of the end of the first quarter 2013.

"This survey, conducted by one of the world's most respected research organizations, confirms what we at Herbalife already know to be true: that Herbalife's products have a broad consumer base here in the U.S. —nearly 8 million in the last three months —and that the majority of individuals that purchase Herbalife products do so for personal consumption," stated Michael O. Johnson, Herbalife's chairman and CEO. "Many of the national polls sponsored by major news organizations during the recent presidential election relied on sample sizes of 800 to 1,000 participants. Importantly, in this research, the sample size of more than 10,000 consumers and the corresponding very low margin of error give this survey strong credibility. Throughout our 33-year history, Herbalife has been committed to having a positive impact on the lives and health of our consumers while addressing global public health concerns: weight management and nutrition. We look forward to continuing to create meaningful results and value for all Herbalife stakeholders."

Additional findings from the market research include: - Past three month purchasers also claim to purchase Herbalife at a mean rate of every 2.2 months. - Weight Management is the most commonly purchased type of Herbalife product for personal use, with 95 percent of past three month Herbalife purchasers claiming to have bought this type of product.

Johnson concluded, "We believe the results of this study substantiate our belief that many of those who attack our model lack a clear understanding of the direct selling industry, and Herbalife in particular. Meanwhile, Herbalife continues to deliver record results in sales and profitability as our independent distributors go deeper into existing markets, developing more customers using our nutrition products every day."

Herbalife also announced today that it has appointed Monica Wood as Vice President, Consumer & Distributor Insights. In this role, Ms. Wood will help advance Herbalife's commitment to ongoing, in-depth market research.

Herbalife Responds to Report of FTC Investigation

Press Release | 2/5/2013

LOS ANGELES, February 4, 2013 -- Herbalife today issued the following statement following misleading and inaccurate information in the marketplace this morning:

Other than the voluntary dialogue with regulators, which we communicated on our January investor day, we are unaware of any other regulatory interest and/or investigation. We are demanding a correction from the NY Post.

Since its founding in 1980, Herbalife has positively impacted the lives and health of consumers. For a direct selling company of our size, we have had a relatively low number of complaints to the FTC. However, we take every one of them seriously and stand by our record of doing right by our distributors and all consumers of our products.

Herbalife Registers Ackman Domain Names

MarketWatch | 1/30/2013

January 30, 2013 -- Apparently, the domain name billackmanisabigmeanie.com is still available.

But, as reported by Bloomberg, Herbalife has registered website domain names such as threalbillackman.com and billackman.net, signalling the increasingly personal brawl fostered by hedge-fund manager Bill Ackman’s short bet against the nutrition company isn’t likely to get any nicer.

Ackman, who runs Pershing Square Capital Management, accused the company of operating a pyramid scheme in December, announcing a huge short position against Herbalife shares. Herbalife shares tanked but have since rebounded, rising more than 17% since the beginning of the year.

Ackman, at the time, launched his own website, called factsaboutherbalife.com.

Herbalife has fought back, denying that its multi-level marketing program is a pyramid scheme and accusing Ackmann of distorting its business model.

The battle has attracted other heavyweights from the investing world. Setting up a showdown of hedge-fund titans, Third Point’s Dan Loeb weighed in earlier this month to take an 8.2% stake in Herbalife.

Then last week things got, well, if not interesting … at least weird, as Ackman squared off with fellow billionaire Carl Icahn in an on-air verbal throwdown on CNBC after Icahn criticized Pershing Square for publicly touting its short position.

Icahn called Ackman a “crybaby,” while Ackman called Icahn a “liar” and a hypocrite.

For his part, Ackman took exception to Herbalife’s domain-name move, telling Bloomberg: “What legitimate company would do something like that. The spotlight is on Herbalife and they are doing everything they can do to turn it away.”

Johnson continued, "Over the twelve months ended September 30, 2012, Herbalife has generated more than $700 million in EBITDA1 — which does not yet include fourth quarter results — has returned approximately $1.9 billion in capital to shareholders since 2007, and has a strong balance sheet. Herbalife Closes Acquisition Of Manufacturing Facility

Press Release | 1/6/2013

January 4, 2013 -- Herbalife Ltd., a global nutrition company, announced today that its agreement to purchase a manufacturing facility in Winston-Salem, North Carolina, was completed on December 31, 2012.

The purchase of this facility further expands Herbalife's global manufacturing capacity and is in line with the company's stated strategy to increase self-manufacturing for its top products.

Over the next two years, Herbalife expects to invest in excess of $100 million on machinery & technology, as well as a complete retro-fitting of the existing facility to ensure it is in full compliance with U.S. Good Manufacturing Practices (cGMPs) for dietary supplements and food products.

Herbalife expects to begin production in this facility as early as June 2014 and estimates that approximately 500 new jobs will be created by the time it reaches full operations.

Herbalife Responds to Pyramid Scheme Allegations

Press Release | 12/21/2012

LOS ANGELES -- Herbalife Chairman and CEO Michael O. Johnson responded to questions regarding hedge fund manager William Ackman's claims about Herbalife by saying, "The allegation that Herbalife is a pyramid scheme is bogus. Make no mistake: Today's announcement isn't about Herbalife's business model. It's about Bill Ackman's business model."

Here's what we know:

•An extraordinary number of puts on our stock are due to expire this Friday. We previously learned this activity was pegged to some kind of "significant event." •Mr. Ackman suddenly announced today that he will make a presentation on Herbalife on Thursday, the day before the puts expire. •Our CFO this morning asked Mr. Ackman to allow us to participate in his presentation. Mr. Ackman declined. •We have been informed that Mr. Ackman has shorted our stock for the past 7 to 9 months. •Our stock dropped almost 15 percent today following Mr. Ackman's announcement.

We urge the SEC to investigate these series of events to protect the rights of investors. This appears to be yet another attempt to illegally manipulate the market by overzealous short-sellers.

We've been in business for 32 years. We have millions of customers worldwide. We don't pay to recruit distributors. And just today, we announced a $100 million Herbalife manufacturing facility in North Carolina that will employ 500 people.

We have one of the greatest health nutrition product lines in the world and a direct-selling business opportunity for part-time or full-time income.

We are incredibly proud of this company.

Herbalife Names Future Fortified Official Charitable Partner

Press Release | 7/12/2012

LOS ANGELES, Jul 12, 2012 -- Herbalife Ltd. announced today that Future Fortified, a public awareness campaign to improve access to good nutrition for millions of women and children around the world, will be the official charitable partner of the 2012 Herbalife World Football Challenge. Between July 18 and August 11, Future Fortified will join the soccer exhibition tournament to bring together the world's premier soccer clubs, players and fans with the goal to raise $65,000 to provide children in Kenya with the essential nutrients needed for good health and development.

"We are thrilled to have Future Fortified chosen as the official charitable partner of the Herbalife World Football Challenge," stated Marc Van Ameringen, executive director of the Global Alliance for Improved Nutrition (GAIN), which launched the Future Fortified campaign in 2011. "This partnership provides a unique opportunity to utilize soccer, the world's most popular sport, to address malnutrition, the world's largest global health issue."

In order to raise awareness of global nutrition throughout the tournament, Herbalife will contribute $1 to the Future Fortified campaign for every tweet from a fan, player and team using the hashtag #WFCfortified, up to $65,000. The program will run from July 18 through August 11. In addition, individuals who donate to the Future Fortified campaign will automatically be entered to win two free VIP tickets to a Herbalife World Football Challenge match in their region. Complete details are available at www.FutureFortified.org .

A global nutrition leader and the title sponsor of the event, Herbalife helped kick-off the Future Fortified campaign with an initial commitment of 20 million home nutrition packets, small packets filled with vitamins and minerals that mothers can sprinkle onto the foods they prepare at home for their children. Herbalife made this initial contribution jointly with DSM, a leading producer of vitamins and nutritional ingredients, in response to ongoing food insecurity and drought in eastern Africa, including Kenya.

Good nutrition is critical for women and children in the 1,000 days from a woman's pregnancy to a child's second year of life, providing the essential nutrients needed for healthy pregnancies, good growth and proper development. Yet drought and escalating food prices have brought hunger and malnutrition to more than 2.4 million people in Kenya. As a result, children have alarmingly high rates of malnutrition and over 35 percent of children in Kenya are stunted. Poor nutrition in mothers and children is the underlying cause of one in three childhood deaths each year.

"Herbalife is committed to making good nutrition accessible to everyone, from soccer stars to young children," stated Michael O. Johnson, Herbalife's chairman and CEO. "We are honored to be working in partnership with the Future Fortified campaign to help get children in Kenya off to the right start to reach their full potential, both on and off the field."

Herbalife Family Foundation Joins Forces with 120-Year Old Childrens Home in Tampa

Press Release | 7/3/2012

LOS ANGELES, Jun 29, 2012 -- The Herbalife Family Foundation (HFF) announced the funding of its 74th Casa Herbalife program at The Children's Home Inc., in Tampa, Florida, with a grant to improve nutrition for the children served by the organization.

Offering a wide array of support, outreach and prevention services to children and families in need, The Children's Home Inc. has a 120-year history in the Tampa Bay community serving children from backgrounds of abuse, neglect or abandonment. Its programs and services help nearly 13,000 children and adults each year.

The Children's Home residential healing campus is "home" to approximately 50 children at any one time who receive therapeutic services and a corrective experience for the trauma they have experienced due to abuse, neglect or abandonment.

The HFF grant will augment the current partially state funded food meal plan with fresh ingredients such as fruits, vegetables and high protein foods that offer more wholesome nutrition than the existing meal offerings.

The Children's Home operates a full service kitchen with two full time staff who prepare and provide three meals and snacks each day. Due to tight funding, the quality of food products is limited to pre-packaged, bulk and frozen ingredients, which do not necessarily offer the most nutritious or well balanced options for the children being served.

"When I first came to The Children's Home I was very violent and afraid. After being at the Children's Home for a few weeks, I started to realize the staff was not going to give up on me. This was not like one of the 20 different foster homes I had been in. The Children's Home was not kicking me out for my behavior, and instead they worked with me," said Thomas Marvin Silver, a 14 year old former program participant and success story, who had been a victim of abuse and neglect since the age of 5. Prior to being adopted by a caring and loving single mother, Silver found in The Children's Home a safe haven that positively transformed his life in a secure and loving non-foster care setting.

The Casa Herbalife program was established in 2005 to help bring good nutrition to children living in orphanages, or participating in after school centers, and other non-profit facilities. This marks the 74th Casa Herbalife program worldwide and the 16th in Herbalife's North America region. After the initial grants made by HFF, the organizations receive local financial and volunteer support from Herbalife Independent Distributors and corporate employees.

HFF is a 501C(3), non-profit corporation dedicated to improving children's lives by helping organizations provide healthy nutrition to children at risk. Additionally, HFF often supports relief efforts in response to natural disasters.

Being a part of the Herbalife family has been a great experience thus far," stated Gonzalez.

Sean Franklin, one of the Galaxy's longest tenured players having joined the club in 2008, remains one of the most athletic right backs in MLS and a key ingredient in the club's defensive success to date. Franklin was selected by the Galaxy in the first round (4th overall) of the 2008 MLS SuperDraft. Like Gonzalez, Franklin's contract agreement makes Herbalife his official nutrition sponsor, and the company will supply him with nutrition products to help him meet his sports nutrition needs, and he will participate in Herbalife promotional events with independent distributors.

"It's exciting to be part of the Herbalife family. Herbalife Observes Breakfast for Children

Press Release | 10/22/2010

In a nationwide survey sponsored by Herbalife, 73 percent of parents said that their kids ate breakfast at home every day before going off to school, while only about 5 percent of parents reported that their kids never ate breakfast. So, the message that "breakfast is the most important meal of the day" seems to be getting heard, at least by parents of kids aged 6-12.

That's the good news. But what kids typically eat is another story. The survey of over 1100 parents in the U.S. conducted by Synovate eNation, found that kids' top three breakfast choices were refined grain products like cold cereal, waffles or pancakes, and bread products like toast and bagels. Fewer than half of those surveyed said that their kids typically ate eggs in the morning and less than half (41 percent) said that their kids ate fruit before leaving for school.

"Just as important as making sure that kids eat breakfast in the morning, is making sure that kids get a well-balanced meal before going to school," says Luigi Gratton, MD, vice president of nutrition education at Herbalife. "A breakfast high in refined grains and low in protein won't keep kids going until lunch, so energy can lag and academic performance can suffer," he adds.

To keep going physically and mentally, kids need a balance of healthy carbohydrates and protein. Fresh fruits and whole grains provide energy, and also provide fiber that kids are often lacking. High quality proteins -- like milk, soy milk, yogurt, cottage cheese and eggs-- help keep kids satisfied until lunch time and also keep them mentally alert. Dairy products also provide much-needed calcium and vitamin D that, for many kids, are in short supply.

While the survey found that the number of kids who didn't eat breakfast was small, those numbers start to rise as kids get older. As kids move into adolescence, they'll often opt to skip breakfast just to catch a few extra minutes of sleep, or they're so pressed for time that they just grab something quick to eat along the way.

"Making it easy to put together quick, satisfying meals in the morning will help kids establish a lifelong healthy breakfast habit," says Gratton. "Stock your refrigerator with easy-to-eat cartons of yogurt, fresh fruit, hard-boiled eggs and sticks of string cheese, and stock your pantry with whole grain cereals like oatmeal or shredded wheat. Or, show them how to whip up a protein smoothie to sip on while they're getting ready."

And, breakfast doesn't always have to be breakfast food. "There's no law that says kids can't eat last night's leftovers or a turkey sandwich for breakfast," Gratton concluded.

Survey of US adult population, conducted by Synovate eNation, 9-15-2010 through 9-24-2010, margin of error +/- 3 percentage points.

The new facility, expected to open in the second half of 2011, is part of the company's 'seed to feed' strategy for quality control, purity, and traceability on all ingredients throughout its supply chain. The new extraction facility will purchase botanicals directly from farms in Hunan province and other regions, perform extraction and other conversion processes and then send these processed raw materials directly to Herbalife's manufacturing facilities in Suzhou, China and Lake Forest, Calif. or to its third party manufacturers throughout the world. The new extraction plant will produce botanical extracts including teas, guarana, chamomile, broccoli and bilberry, among others, for use in many of its products. Herbalife is also in the process of entering into strategic supply agreements with farmers in Hunan and other provinces to provide ultimate traceability for its ingredients.

Changsha, the capital of Hunan province, was chosen for its location on the banks of the Yangtze River as home to many of the world's nutritional herbs and botanicals.

Herbalife's 80,000 sq. ft. facility in Changsha will be capable of processing approximately 8,000 metric tons of raw materials annually through extraction, purification and drying of powders and liquids. The new plant will create approximately 120 local jobs. The project received support from the Hunan provincial and Changsha City governments.

Press Release | 9/3/2010

The Herbalife Family Foundation (HFF) has established two new Casa Herbalife programs to support nutrition and wellness programs at Scotland's Action for Children (North Lanarkshire Young Carers Project), and in Queretaro, Mexico at La Alegria de los Ninos, IAP (Children's Happiness).

In 2006, HFF provided a grant to Action for Children's London location to help educate young people who serve as their family's primary caregiver. Due to the program's success, an additional request was made for funding for its North Lanarkshire Young Carers project in Scotland, which began 15 years ago. The project currently supports over 250 young people who serve as the primary caretaker for ailing or chronically ill parents through a wide range of support services that include in-school support, outreach/community support, focused group work programs, individual counseling, family support, and educational activities and excursions.

The grant will help Action for Children offer young 'carers' more training around the importance of preparing and storing food properly, food hygiene and food safety as well as learning to cook for their families and make healthy food choices.

Founded in 1994 with the mission of protecting infants and children who are victims of abuse, abandonment and neglect, La Alegria de los Ninos, IAP in Queretaro, Mexico, offers a safe haven from the streets for these at-risk children and provides food, shelter, care, clothing and education while adoption proceedings are in progress or prior to a strategic and carefully-crafted family reintegration plan being established.

To date, La Alegria de los Ninos, IAP has served, sheltered and placed 235 children in safe homes or reintegrated them to their families. With three current locations in the state of Queretaro, the organization serves approximately 10 percent of displaced children in the state. The ages of the population served range from infants to 17 years of age.

The grant will assist in providing three meals and snacks daily to the 70 children currently in the organization's care. Additionally, a portion of the funds granted will be used to support essential wellness treatments for children with special needs.

The Casa Herbalife program was created in 2005 to help bring good nutrition to children in need. CEO Of Herbalife Talks Weight Management

Press Release | 8/4/2010

August is going to be the most happening month in the year 2010. At least as far as stevenage is concerned, because herbalife is doing a research regarding obesity and the answer to it. It has suggested various ways through which obesity and weight gain can be checked.

When I asked the CEO he told us that "Today we are leading a pretty hectic lifestyle .We are pretty busy and do not even have the time to take our meals properly. For convenience we generally buy and eat junk foods which are high in salt and fat. This coupled with lack of exercise is further aggravating the problem.

Obesity is something that takes a lot of time to develop. It is the result of continuous neglect and not implementing even the simplest step. It takes time for imbalances in food and faulty lifestyle choices to toll on your health, once it does; you become chronically overweight or obese. Moreover, it seems that the idea of normalcy has changed a bit. Thanks to the new breed of overweight celebrities. We tend to compare ourselves to them and do not realize how important it is to lose weight. Well this can be a costly mistake.

Sometimes we do not get the adequate will power to take active steps to lose weight. In that case it makes practical sense to seek help from an expert .I am not talking about joining a slimming club. In fact, there are lot of alternatives available especially with the natural weight loss programs that guides you to control your diet additionally it also provides personal mentoring support. My suggestion to all will be to look to choose a company that was in existence for more than at least 20 years. So you know that there is someone whom you can trust and don’t fall victim to flashy newspaper adds that promises something and delivers nothing. Choose immediately because it’s your life." So we see that the CEO is upbeat about the prospects of weight loss and has suggested some very practical ways to deal with obesity. No wonder he is an experienced man in the field of fitness, life style and health services.

The store will offer consumers an alternative to eating on the go, in the form of healthy Herbalife products and shakes, as well as nutritional coaching and support for reaching wellness goals. Jake Lutjemeier and Cody Calp are changing the face of fast food by offering their customers, quick and easy nutrition on the go, as well as personalized wellness plans, and step-by-step coaching and support in achieving nutrition or weight loss goals. Originally a graduate of University of Kansas, Lutjemeier started a similar nutrition club in Topeka with a public health focus. The shakes offered at Healthy Fusion will include two add ins of either aloe, fiber, protein, green tea or a protein bar in addition to the Herbalife products. Customers have the option of calling in for shakes, or relaxing in house with Wi-Fi and comfortable surroundings. Herbalife Popular Among Latino Immigrants

Npros.com | 5/25/2010

Nutrition and weight loss supplements are sold by Herbalife worldwide via multiple selling platforms. Among them are Herbalife nutrition clubs hosted by independent distributors all around the world. These independent distributors sell Herbalife products directly to friends, family and neighbors, allowing them to earn a commission if they manage to harvest new distributors. According to figures, 64 percent of the company’s US distributors, are Latino.

Some of these gatherings have evolved to resemble a bar or a health club as opposed to the typical sales party where demonstrations and samples are handed out. One distributor who originally came from Mexico ushers in a few women and serves them each a cookie-flavored protein shake, cold aloe water, and a hot raspberry tea for the price of $4.

Mrs. Garcia, one of the women who was served stated: “People we know invited us to become distributors because we were looking for work. Maybe eventually we will, but we’ve got to try it first,”.

In many immigrant communities, Herbalife has managed to establish a presence in one form or another due to the 50,000 "nutrition clubs" developed by Herbalife distributors in Zapotecas, Mexico. Herbalife produced $2.3 billion in 2009 as a result of the efforts of its Mexican associates and their nutrition club sales model.

“Actually this is a Latino company. It’s a cultural phenomenon. In times of recession we’ve had a lot of success because we provide an alternative source of income,” said Herbalife spokesperson Marco Gonzales as he explained that it costs $87.95 for the starter kit necessary to become a distributor.

Immigrants are drawn to the low start-up cost, both due to the fact that it is low, as well as the lack of an immigration status check from Herbalife. New distributors are only required to provide a tax identification number and pay taxes on the income, according to Gonzales.

One problem that occurs with this sales model is that it changes the technical status of the business transaction due to the fact that distributors are providing food, drinks and supplements without the proper licenses that demand certain regulations be followed.

One such case in Passaic, New Jersey, revealed that health inspectors shut down Isabel Carmona, fining her for $850 because she violated health and zoning regulations after her neighbors complained about the disruptive flow of people coming and going from her home where she was operating a nutrition club.

In some cases, Latinos all but praise Herbalife and even allege that the company gets distributors to purchase thousands of dollars’ worth of Herbalife products that they are unable to sell. In one such case, an anonymous man claims he lost $30,000 in savings on Herbalife products, and is currently trying to dissuade other immigrants from making the same mistake.

“At the conventions you have mothers sleeping with their children in the halls of the hotel – they can’t afford a room – but they’re there out of love for Herbalife, and come from small towns and they’re uneducated." he said.

“Sometimes people will notice we’re overweight and say, ‘look, try Herbalife and you’ll see – it will help.' stated Mrs. Garcia, who added that many Latinos feel the difference in their since they started attending the nutrition clubs.

Herbalife Press Release

Press Release | 4/12/2010

Avid cyclists over the age of 50 had an improvement in their performance after taking arginine supplements for three weeks, according to a study just published in the International Society of Sports Nutrition.

"As people age, their exercise capacity may decline -- leading in turn to a decline in overall fitness that can impact health," noted Luigi Gratton, MD, vice president of medical affairs at Herbalife.

A group of 16 male cyclists, aged 50 to 73 years, were randomly assigned to receive either the supplement (Niteworks; Herbalife International, Los Angeles, CA) containing 5.2 grams of L-arginine, or a look-alike placebo and instructed to continue with their usual cycling regimen over the three week study period.

After three weeks, those taking the supplement had an increase in their anaerobic threshold -- the point at which lactate begins to accumulate in the blood, leading to fatigue.

"Arginine is involved in the production of nitric oxide in the body," notes Gratton, "and nitric oxide has been associated with the improvement of exercise performance through its beneficial effects on the vascular system." As people age, production of nitric oxide declines, so the researchers believed that arginine supplementation could support the production of nitric oxide and enhance performance.

The anaerobic threshold of the study subjects was assessed both before and after the three week study period. In those receiving the supplement, their anaerobic threshold increased by 16.7% after one week, and held steady during the three weeks, whereas those in the placebo group experienced no change.

"This indicates a potential role for arginine in improving exercise performance in older subjects," said Gratton, "and improved performance could mean better fitness and healthier lives."

Ex Herbalife Distributors Allege Pyramid Scheme

Los Angeles Business Journal | 9/6/2009

Herbalife Ltd. has gone far in fighting the old perception that it operates as a thinly veiled pyramid scheme. In recent years, it picked a high-profile Disney executive to be its chief executive, improved its diet and nutritional supplements, and changed the way it operates.

But it looks as if the L.A. company will have to fight again. A group of former top distributors in the midst of a nasty legal battle with Herbalife is renewing the claim that Herbalife operates as a pyramid scheme.

The allegation could be disregarded as a standard strategic countersuit – Herbalife earlier sued the group for allegedly poaching hundreds of its independent distributors to a competing business – except that the federal judge overseeing the case recently denied Herbalife’s request to throw out the pyramid scheme claim, instead ruling it should go to trial.

This was their third grocery store tour. A little more than a year ago, 40 pounds thinner from Atkins but feeling depressed and far more tired than a 28-year-old should, Hough took a neighbor's suggestion and contacted a combination cheerleader, private instructor, and food resource officer named KC McQuillan.

April 9 (Bloomberg) -- Herbalife Ltd., a seller of nutritional and weight-loss supplements, said talks about a sale to its largest shareholder Whitney & Co. ended.

A special committee set up to consider an offer was disbanded, Herbalife said today in a statement.

The vitamin seller said April 5 that Whitney was considering raising a previous offer of $2.7 billion, which Herbalife had rejected last month as insufficient. Whitney was among the investors that took Herbalife public in 2004.

``The stock is worth a lot more than what they were bidding,'' said Rommel Dionisio, an analyst at Wedbush Morgan Securities in Los Angeles, who rates the shares ``buy.'' ``It's welcome news because it allows the stock to now trade on its fundamental strength.''

Dionisio doesn't expect any additional bids for Herbalife.
