Mannatech Shareholders Approve Reverse Stock Split

At a subsequent Board of Directors' meeting held after the shareholders' meeting, the Board of Directors passed a resolution to set the ratio for the stock split at 1-for-10. It is intended that the reverse stock split will be effected, and an amendment to the company's Amended and Restated Articles of Incorporation will be filed on January 13, 2012.

"We believe the reverse stock split is the most effective means for maintaining our listing on NASDAQ," said J. Stanley Fredrick, Chairman of the Board. "We also believe that a higher per-share market price of our common stock could encourage investor interest in the company and promote greater liquidity for our shareholders."

Mannatech Announces Executive Change

Stephen D. Fenstermacher, Chief Financial Officer and co-CEO, resigned effective December 13, 2011, to accept an opportunity with a financial services company. Mr. Fenstermacher joined Mannatech in 1998, and has served as its Chief Financial Officer since October 1999. He joined the Mannatech Senior Executive Office as co-CEO in December 2009. The Company's Board of Directors is currently evaluating the vacancy in the Senior Executive Office resulting from Mr. Fenstermacher's resignation.

Mannatech has promoted S. Mark Nicholls to Chief Financial Officer. Mr. Nicholls joined Mannatech in December 2007 to serve as Senior Tax Manager, and most recently served as Vice President Treasury & Tax. Prior to joining Mannatech, Mr. Nicholls served as Tax Director at Carter & Burgess, a large architectural and engineering firm in the United States, and as Chief Financial Officer for The Cirrus Group, a real estate management and development company. Additionally, Mr. Nicholls spent ten years working at public accounting firms, including PricewaterhouseCoopers and BDO Seidman. He is a Certified Public Accountant licensed in the State of Texas.

Mannatech Announces Findings of Ambrotose Study

The study compared the adults who consumed Ambrotose to those who consumed a placebo, and individuals who consumed the complex powder reported numerous health and well-being benefits following 12 weeks of intake. The study, conducted by Dr. Talitha Best and colleagues in Australia, was published in the peer-reviewed journal Applied Research in Quality of Life.

Mannatech Reports Second Quarter Results

“We continue to manage our cost of sales, commission costs and operating expenses at efficient levels” .Second quarter net sales for 2010 were $57.6 million, a decrease of 25.8%, compared to $77.6 million in the second quarter of 2009. North American sales declined 32.0% to $31.0 million in the second quarter of 2010 compared to $45.6 million in the second quarter of 2009. Second quarter international sales of $26.6 million decreased 16.9% compared to $32.0 million in the second quarter of 2009.

For the six-months ended June 30, 2010 sales were $118.3 million, down 20.3% from $148.3 million for the same period in 2009. The company reported a net loss for the six month period of $6.6 million, compared to last year’s six month net loss of $10.3 million. The loss per share was $0.25, compared to a loss per share of $0.39 for the six months ended June 2009. Sales were considerably higher in the second quarter of 2009 because of the launch of a lower price pack promotion, yet accompanied by higher commission costs.

“Although sales have been sluggish we are implementing the fundamental programs to stabilize the business and reignite growth,” said Dr. Robert Sinnott, Co-CEO and chief science officer of Mannatech. “Some of these exciting programs include our expanded web presence, our recent partnership with the International Sport Karate Association (ISKA) and the launch of our Give For Real program. First quarter net sales for 2010 were $60.7 million, a decrease of 14.2%, compared to $70.7 million in the first quarter of 2009. North American sales declined 23.0% to $32.2 million compared to $41.8 million in the first quarter of 2009. International sales of $28.5 million decreased 1.4% compared to $28.9 million in the first quarter of 2009. International sales showed significant gains in South Africa, Taiwan and Singapore compared to sales in the first quarter of 2009.

Mannatech Lawsuit Settled For 35k

the Equal Employment Opportunity Commission (EEOC) received a complaint in 2009 filed by Jill Roberts that her employer, Mannatech Inc, had rejected her job applicancy due to her MS and neurogenic bladder syndrome. The suit alleges that Roberts was denied the reasonable accommodation of need-based restroom breaks, in addition to being denied the assignment at the company's call center in Copell. As a result, The EEOC sued Mannatech, alleging violations of the Americans with Disabilities Act.

Final Judgment In Lawsuit Involving Mannatech And Rivals

The decision also prohibits the two defendants from supplying any portion of the infringing products in the lawsuit. The agreed settlements resolve the claims against two of the companies that Mannatech engaged in court for infringing on its patents.

A final judgement and permanent injunction has been obtained according to an announcement from Mannatech Inc in a case against Techmedica and Ionx. The judgement prohibits Techmedica and Ionx from the production, use, or sale of products that infringe on any of Mannatech's patents, in addition to having to pay $250,000 in damages. The lawsuit was filed in May 2006 in the United States District Court for the Northern district of Texas, Dallas Division.

Mannatech Announces Ambrotose Study Results

The study took place at Flinders University in Adelaide, Australia and was designed and carried out by the university's own Talitha Best and Eva Kemps, as well as Janet Bryan of the University of South Australia. The results were published in the January 2010 issue of a peer-reviewed scientific journal called 'Developmental Neuropsychology'.

The scientific article indicated that subjects had completed standardized alternating memory and cognition tests while also reporting a significant improvement in their sense of well being.

The favorable judgment and ban on sale of certain products of Green Life and Xiong Lo, found guilty of patent infringement, boosted Mannatech's share by about 4.93%.

Senior District Judge Joe Fish in the U.S. Northern District Court of Texas issued a final judgment that entered a broad permanent injunction against Green Life and Lo prohibiting them from "making, using, offering to sell, selling, distributing or importing defendant's product - Glyco 8 and other products similar to Glyco 8 or infringing on patents."

EEOC Sues Mannatech

The suit, filed last week in federal district court in Dallas, alleges that Mannatech engaged in “unlawful employment practices” by firing the worker, Jill Roberts, from her job in a call center because Roberts is “disabled, regarded as disabled or because she has a record of a disability.”

According to the EEOC’s complaint, Roberts also asked for a “reasonable accommodation to use the restroom on an as-needed basis.” That request was denied, the EEOC’s court records allege.

Mannatech Suspends Dividend

Coppell-based Mannatech (Nasdaq: MTEX) reported a net loss of $4.8 million, or 18 cents per share, in the quarter that ended March 31 compared to a loss of $2.3 million, or 9 cents a share, in the year-ago quarter.

Revenue was $70.7 million, down 22.7 percent from $91.5 million in the year-ago period. Mannatech said the sales decline was due mainly to a 27.6 drop in North American sales. International sales were down 14.3 percent.

The company said it boosted its number of independent sales associates by 5.1 percent during the quarter.

The Coppell, Texas-based company said the published articled stated that on January 9, 2008 the company had reached a settlement in a lawsuit filed by shareholders.

Mannatech said that the January 9, 2008 reference appeared to refer to a filing made in one of the pending derivative actions, Norma Middleton v. Samuel L. Caster, et al., No. 3:05-cv-2059K, in the United States District Court for the Northern District of Texas, which was corrected by a joint filing the subsequent day.

The joint court filing, signed by counsel for all parties on January 10, 2008, stated that discussions are continuing but a final settlement has not been reached. This joint filing was filed in the Middleton case and Frances Nystrom v. Samuel L. Caster, et al., No. 3:06-cv-93K, in the United States District Court for the Northern District of Texas.

The company said that it had not settled any shareholder lawsuit at this time, but its counsel are engaged in ongoing settlement communications with petitioner's counsel in the various pending suits.

SAN DIEGO (MarketWatch) -- The Texas Attorney General's office is investigating and has considered taking legal action against Mannatech, a fast-growing manufacturer of nutritional supplements, whose stock has been one of the year's sizzlers.

Its lead product, Ambrotose -- formally known as a "glyconutritional" -- is a type of sugar pill that has been touted for its ability to treat all sorts of ailments, including Down's Syndrome. The product is sold through company's 49,000 person direct-sales network. An Oct. 24 memorandum in response to a public information request says the state's top cop has "anticipated filing suit against Mannatech" for a number of alleged violations.

The public information request was filed by someone who has sold short Mannatech's shares.
