Mannatech Shareholders Approve Reverse Stock Split |
Press Release | 1/10/2012 COPPELL, Texas--Today, Mannatech, Incorporated, held a special meeting of its shareholders and obtained shareholders' approval for the company's proposed reverse stock split. Shareholders of 19,347,703 shares of Mannatech stock, which represents 73.05% of the total outstanding shares, voted "FOR" the proposal. Approval of the proposal gives Mannatech's Board of Directors the authority to amend the company's Articles of Incorporation and effect a reverse split of the company's common stock at a specific ratio within the range of 1-for-10 and 1-for-15.At a subsequent Board of Directors' meeting held after the shareholders' meeting, the Board of Directors passed a resolution to set the ratio for the stock split at 1-for-10. It is intended that the reverse stock split will be effected, and an amendment to the company's Amended and Restated Articles of Incorporation will be filed on January 13, 2012. "We believe the reverse stock split is the most effective means for maintaining our listing on NASDAQ," said J. Stanley Fredrick, Chairman of the Board. "We also believe that a higher per-share market price of our common stock could encourage investor interest in the company and promote greater liquidity for our shareholders." Fenstermacher, Chief Financial Officer and co-CEO, resigned effective December 13, 2011, to accept an opportunity with a financial services company. Mr. Fenstermacher joined Mannatech in 1998, and has served as its Chief Financial Officer since October 1999. He joined the Mannatech Senior Executive Office as co-CEO in December 2009. The Company's Board of Directors is currently evaluating the vacancy in the Senior Executive Office resulting from Mr. Fenstermacher's resignation. Mannatech has promoted S. Mark Nicholls to Chief Financial Officer. Mr. Nicholls joined Mannatech in December 2007 to serve as Senior Tax Manager, and most recently served as Vice President Treasury & Tax. Prior to joining Mannatech, Mr. Nicholls served as Tax Director at Carter & Burgess, a large architectural and engineering firm in the United States, and as Chief Financial Officer for The Cirrus Group, a real estate management and development company. Additionally, Mr. Nicholls spent ten years working at public accounting firms, including PricewaterhouseCoopers and BDO Seidman. He is a Certified Public Accountant licensed in the State of Texas. The company reported an operating loss of $2.1 million for the second quarter 2010 compared to an operating loss of $11.1 million in the second quarter of 2009. Second quarter EBITDA(1) was a positive $0.2 million compared to a negative $6.6 million EBITDA for the second quarter of 2009.“We continue to manage our cost of sales, commission costs and operating expenses at efficient levels” .Second quarter net sales for 2010 were $57.6 million, a decrease of 25.8%, compared to $77.6 million in the second quarter of 2009. North American sales declined 32.0% to $31.0 million in the second quarter of 2010 compared to $45.6 million in the second quarter of 2009. Second quarter international sales of $26.6 million decreased 16.9% compared to $32.0 million in the second quarter of 2009. For the six-months ended June 30, 2010 sales were $118.3 million, down 20.3% from $148.3 million for the same period in 2009. The company reported a net loss for the six month period of $6.6 million, compared to last year’s six month net loss of $10.3 million. Healthy middle-aged adults were each given a teaspoon of Ambrotose complex twice a day during the twelve week study, which seemingly lead to better results in memory tests as well as an overall improvement in mood.The study took place at Flinders University in Adelaide, Australia and was designed and carried out by the university's own Talitha Best and Eva Kemps, as well as Janet Bryan of the University of South Australia.
