“Arriving at the 25-year mark is a big deal for any business, but especially for a direct sales company,” explained Alfredo “Al” Bala, CEO and President of Mannatech. “Many companies have come and gone in the last 25 years, but here we are operating in 26 countries^ and still transforming lives through Glyconutrition.”

Mannatech is celebrating throughout the year with eight unique MannaFest-type conferences in the USA, Korea, Macau, Australia, South Africa, Japan, UK, and Mexico.

“MannaFest is always exciting and is hugely beneficial to those who attend,” continued Bala. “We typically introduce a new product or two, provide deep training on the new products, and train our Associates on how to build their businesses. January 15, 2018 COPPELL, Texas--Mannatech, Incorporated promoted and added new responsibilities to a pair of senior members of its executive team, Landen Fredrick and Joel Bikman.

Fredrick, previously the Senior Vice President of Global Operations, was promoted to Chief Global Sales Officer and President, North America. He will coordinate worldwide sales activity and have P&L responsibility for all sales activity in the United States and Canada.

“I have seen, on a very personal level within my immediate family, the powerful health benefits of our products, particularly Ambrotose,” said Fredrick. “Having spent my first 6 years at Mannatech in sales and recently 6 years in operations, I am excited about this new role where I can utilize my experiences to help build our sales team of over 200,000 Associates into a formidable force in the exploding wellness industry.”

Mannatech Creates Global Scientific Advisory Board

The firm has appointed nine third-party scientists to the advisory board who will be tasked with driving innovation in new product development and ensuring that all products meet the highest standards.

Mannatech Reports Q2 2013 Financial Results

COPPELL, Texas, Jul 31, 2013 -- Mannatech,Incorporated, a leading developer and provider of nutritional supplements and skin care products based on Real Food Technology(R) solutions, today reported a net income of $0.8 million, or $0.30 per diluted share, for the second quarter ending June 30, 2013, as compared to a net loss of $2.5 million, or $0.93 per diluted share, for the second quarter of 2012. Net sales for the second quarter of 2013 were $44.8 million, an increase of 2.7% as compared to $43.6 million in the second quarter of 2012.

Net sales for North America declined 6.6% to $21.3 million as compared to $22.8 million in the second quarter of 2012. This decline in revenue was primarily due to a decrease in the revenue generated per active associate and member.

Net sales for Asia/Pacific increased 17.1% to $19.9 million as compared to $17.0 million in the second quarter 2012 due to an increase in the number of active associates. This increase in revenue was due to an increase in the number of active associates and members and an increase in the revenue generated per active associate and member.

Net sales for Europe, the Middle East and Africa ("EMEA") declined 5.2% to $3.6 million as compared to $3.8 million in the second quarter of 2012. This decline was due to the unfavorable impact on net sales of fluctuations in foreign currency exchange rates.

Recruiting increased 31.2% in the second quarter 2013 as compared to the second quarter of 2012. The number of new independent associates and members for the second quarter of 2013 was approximately 36,200, as compared to 27,600 in 2012. The total number of independent associates and members based on a 12-month trailing period was approximately 240,000 as of June 30, 2013, as compared to 230,000 as of June 30, 2012.

Mannatech Reports Fourth Quarter and Year End Results

Fourth Quarter Results

Fourth quarter net sales for 2012 were $42.3 million, a decrease of 11.7% compared to $47.9 million in the fourth quarter of 2011. Net sales for United States and Canada declined 14.4% to $20.2 million compared to $23.6 million in the fourth quarter of 2011. International net sales of $22.1 million decreased 9.1% compared to $24.3 million in the fourth quarter of 2011.

Net income was $0.3 million, or $0.10 per diluted share, for the fourth quarter of 2012, compared to net loss of ($7.0 million), or ($2.63) per diluted share, for the fourth quarter of 2011.

Year End Results

Annual net sales for 2012 were $173.4 million, down 13.6% from $200.7 million for 2011. The company reported a net loss for 2012 of $1.4 million, compared to a net loss of $20.7 million in 2011. The loss per share was $0.52 in 2012, compared to the loss per share of $7.80 in 2011.

The total number of independent associates and members based on a 12-month trailing period was approximately 229,000 as of each of December 31, 2012 and 2011. The number of new independent associates and members for 2012 was 97,000, compared to 77,000 in 2011, which was an increase of 20,000 over the previous year.

Mannatech Reports Third Quarter 2012 Results

November 7, 2012 -- Mannatech, Incorporated, a leading developer and provider of nutritional supplements and skin care products based on Real Food Technology® solutions, today reported net income of $2.2 million, or $0.83 per diluted share, for the third quarter ending September 30, 2012, compared to a net loss of $3.7 million, or $1.38 per diluted share, for the third quarter of 2011.

In achieving net income of $2.2 million for the third quarter of 2012, non-cash items impacting profitability included a reduction in a previously recognized deferred tax asset valuation allowance of approximately $1.0 million, a release of reserves related to transaction taxes of $0.8 million due to the expiration of statutes of limitations, and income from foreign currency exchange rate fluctuations of $0.5 million. Third quarter operating profitability, net income adjusted for the non-cash items listed above, was near even as we move closer to our goal of profitability. We expect our continuation of targeted expense reductions to have a positive impact on profitability and cash flow.

Net sales for the third quarter of 2012 were $43.0 million, a decrease of 14.8%, compared to $50.5 million in the third quarter of 2011. Net sales for the United States and Canada declined 16.3% to $20.5 million, compared to $24.5 million in the third quarter of 2011. International net sales of $22.5 million decreased 13.5%, compared to $26.0 million in the third quarter of 2011.

Recruiting increased 38.4% as compared to the third quarter of 2011. New independent associates and members for the third quarter of 2012 were 27,610 compared to 19,950 in 2011. Total active independent associates and members were approximately 233,000 as of the 12-month trailing period ended September 30, 2012, compared to 239,000 as of the 12-month trailing period ended September 30, 2011.

Mannatech Reports Second Quarter 2012 Financial Results

COPPELL, Texas, Aug 08, 2012 -- Mannatech, Incorporated, a leading developer and provider of nutritional supplements and skin care products based on Real Food Technology(R) solutions, today reported a net loss of $2.4 million, or $0.93 per diluted share, for the second quarter ending June 30, 2012, compared to a net loss of $5.2 million, or $1.98 per diluted share, for the second quarter of 2011.

Net sales for the second quarter of 2012 were $43.6 million, a decrease of 15.1%, compared to $51.3 million in the second quarter of 2011. Net sales for the United States and Canada declined 11.7% to $22.6 million, compared to $25.6 million in the second quarter of 2011. International net sales of $21.0 million decreased 18.6%, compared to $25.8 million in the second quarter of 2011.

Recruiting increased 37.5% as compared to the second quarter of 2011. New independent associates and members for the second quarter of 2012 were 27,570 compared to 20,048 in 2011. Total active independent associates and members eligible to purchase our products based on a 12-month trailing period were approximately 378,000 as of June 30, 2012, compared to 385,000 as of June 30, 2011.

Dr. Erika Nelson, a neuroscientist, and her colleagues reviewed controlled studies assessing various roles of exogenous saccharide compounds and polysaccharide-rich extracts on brain function, with a significant focus on benefits derived from oral intake. Her review includes a discussion of five randomized, double-blind, placebo-controlled clinical trials that indicate that Ambrotose® complex, a Mannatech product, positively impacts well-being, memory, cognitive function and mood in healthy adults.* Numerous preclinical studies were also identified that indicate various polysaccharides can modify behavior, enhance synaptic plasticity and provide neuroprotective effects.

Mannatech Shareholders Approve Reverse Stock Split

COPPELL, Texas--Today, Mannatech, Incorporated, held a special meeting of its shareholders and obtained shareholders' approval for the company's proposed reverse stock split. Shareholders of 19,347,703 shares of Mannatech stock, which represents 73.05% of the total outstanding shares, voted "FOR" the proposal. Approval of the proposal gives Mannatech's Board of Directors the authority to amend the company's Articles of Incorporation and effect a reverse split of the company's common stock at a specific ratio within the range of 1-for-10 and 1-for-15.

At a subsequent Board of Directors' meeting held after the shareholders' meeting, the Board of Directors passed a resolution to set the ratio for the stock split at 1-for-10. It is intended that the reverse stock split will be effected, and an amendment to the company's Amended and Restated Articles of Incorporation will be filed on January 13, 2012.

"We believe the reverse stock split is the most effective means for maintaining our listing on NASDAQ," said J. Stanley Fredrick, Chairman of the Board. Stephen D. Fenstermacher, Chief Financial Officer and co-CEO, resigned effective December 13, 2011, to accept an opportunity with a financial services company. Mr. Fenstermacher joined Mannatech in 1998, and has served as its Chief Financial Officer since October 1999. He joined the Mannatech Senior Executive Office as co-CEO in December 2009. The Company's Board of Directors is currently evaluating the vacancy in the Senior Executive Office resulting from Mr. Fenstermacher's resignation.

Mannatech has promoted S. Mark Nicholls to Chief Financial Officer. Mr. Nicholls joined Mannatech in December 2007 to serve as Senior Tax Manager, and most recently served as Vice President Treasury & Tax. Prior to joining Mannatech, Mr. Nicholls served as Tax Director at Carter & Burgess, a large architectural and engineering firm in the United States, and as Chief Financial Officer for The Cirrus Group, a real estate management and development company. Mannatech Reports Second Quarter Results

Mannatech, Incorporated, a global pioneer in the development of high-quality health, weight and fitness and skin care solutions based on nutritional science, today reported a net loss of $3.8 million or $0.14 cents per diluted share for the second quarter ending June 30, 2010, compared to a net loss of $5.5 million or $0.21 cents per diluted share for the second quarter of 2009. The company reported an operating loss of $2.1 million for the second quarter 2010 compared to an operating loss of $11.1 million in the second quarter of 2009. Second quarter EBITDA(1) was a positive $0.2 million compared to a negative $6.6 million EBITDA for the second quarter of 2009.

“We continue to manage our cost of sales, commission costs and operating expenses at efficient levels” .Second quarter net sales for 2010 were $57.6 million, a decrease of 25.8%, compared to $77.6 million in the second quarter of 2009. North American sales declined 32.0% to $31.0 million in the second quarter of 2010 compared to $45.6 million in the second quarter of 2009. Second quarter international sales of $26.6 million decreased 16.9% compared to $32.0 million in the second quarter of 2009.

For the six-months ended June 30, 2010 sales were $118.3 million, down 20.3% from $148.3 million for the same period in 2009. The company reported a net loss for the six month period of $6.6 million, compared to last year’s six month net loss of $10.3 million. The loss per share was $0.25, compared to a loss per share of $0.39 for the six months ended June 2009. Sales were considerably higher in the second quarter of 2009 because of the launch of a lower price pack promotion, yet accompanied by higher commission costs.

Final Judgment In Lawsuit Involving Mannatech And Rivals

Senior District Judge Joe Fish in the U.S. Northern District Court of Texas issued a final judgment that entered a broad permanent injunction against Green Life and Lo prohibiting them from "making, using, offering to sell, selling, distributing or importing defendant's product - Glyco 8 and other products similar to Glyco 8 or infringing on patents."

EEOC Sues Mannatech

The Equal Employment Opportunity Commission has sued Mannatech Inc., alleging in recently filed court documents that the local multilevel marketing firm violated federal law by firing an employee who had a disability.

The suit, filed last week in federal district court in Dallas, alleges that Mannatech engaged in “unlawful employment practices” by firing the worker, Jill Roberts, from her job in a call center because Roberts is “disabled, regarded as disabled or because she has a record of a disability.”

According to the EEOC’s complaint, Roberts also asked for a “reasonable accommodation to use the restroom on an as-needed basis.” That request was denied, the EEOC’s court records allege.

Mannatech Suspends Dividend

The company said it paid over $2 million in dividends last year. It said it needs to save the money to pay for initiatives aimed at boosting sales and recruitment.

The company said directors will consider reinstating the dividend when financial results improve.

Before the announcement, Mannatech shares had risen 15 cents, or 4.3 percent, to close at $3.63.

Coppell-based Mannatech (Nasdaq: MTEX) reported a net loss of $4.8 million, or 18 cents per share, in the quarter that ended March 31 compared to a loss of $2.3 million, or 9 cents a share, in the year-ago quarter.

Revenue was $70.7 million, down 22.7 percent from $91.5 million in the year-ago period. Mannatech said the sales decline was due mainly to a 27.6 drop in North American sales. International sales were down 14.3 percent.

The company said it boosted its number of independent sales associates by 5.1 percent during the quarter.

The litigation is the consolidation of three securities class action complaints filed against Mannatech and certain of its officers and directors in August and September 2005. The settlement class consists of the purchasers of Mannatech stock during the period August 10, 2004 through July 30, 2007.

Without admitting any liability or wrongdoing of any kind, the company has agreed to authorize payment to the plaintiff class of $11.25 million. This settlement payment would be funded by both the company's insurer and the company itself.

Mannatech, Inc. Reports Record Second Quarter Earnings COPPELL, TX, Aug 09, 2006 (MARKET WIRE via COMTEX) -- Mannatech, Inc. (MTEX) today reported record earnings for second quarter 2006 of $0.31 per diluted share, up 48% from second quarter 2005 earnings of $0.21 per diluted share. Pretax profit reached $13.4 million for the quarter, up 41% over prior year, reflecting favorable costs relative to sales. Net income for the quarter reached a record $8.6 million with a net profit ratio of 8.2%, a rate improvement of 2.5 points versus 2005, partially due to a lower effective tax rate in the quarter.

Total second quarter revenue was $104.8 million, up 2.1 percent versus prior year. Total current Mannatech independent associates and members grew to 526,000 as of June 30, 2006, an increase of 19.5% compared with the same time prior year. The record current independent associate and member count resulted primarily from the increase in continuing current independent associates and members.
