Tempe, AZ- Vemma Nutrition Company (“Vemma”) is pleased to announce that it has reached a settlement with the Federal Trade Commission (“FTC”), bringing an end to the FTC’s lawsuit against Vemma that was filed just over 16 months ago.

For Vemma, there are three key components of the settlement.

First, despite the FTC’s initial allegations, the settlement contains no admission of fault or any finding that Vemma operated unlawfully or as a “pyramid scheme.” From the beginning of the litigation, Vemma – a twelve year old family-owned business – has denied wrongdoing and has strongly contended that it is a customer-driven company with excellent, clinically-studied wellness products.

Second, the settlement does not require Vemma to pay any money. As part of the settlement, Vemma did stipulate to a $238 million dollar damage award. However, the parties expressly agreed that Vemma does not have to pay anything so long as it and CEO BK Boreyko comply with the terms of the settlement.

The question is, why did Vemma agree to such a large award? The answer is simple. First, the FTC did not require the company to pay the fine. But more importantly, while Vemma believes that many of the FTC’s allegations were incorrect, the company agreed to the award in order to settle the lawsuit. Given the financial and emotional cost, along with the significant distraction of continued litigation with the FTC, Vemma wants to focus on rebuilding its business, not proving the FTC was wrong.

Third, and most important, the settlement allows Vemma to continue doing business, as it has for over the past year, providing some of the most unique, ultra-premium liquid wellness products available anywhere.

“This settlement not only brings an end to the litigation,” said BK Boreyko. "It allows Vemma to continue to deliver its products to its customers. Although Vemma did not pay a fine, we paid a huge price to prove the value of our products and the ongoing validity of our business. We are excited about the future and look forward to serving our customers and rebuilding and re-growing our company.”

September 19, 2015 - On Friday, a federal judge barred Vemma from resuming full operations and ruled that the company will remain under the supervision of a monitor.

U.S. District Court Judge John Tuchi stated in his ruling that "the evidence before the Court leaves little doubt that the FTC will ultimately succeed on the merits in demonstrating that Vemma is operating a pyramid scheme." He prohibited the company from recruiting new representatives but not from selling products for personal consumption.

The judge appointed a permanent monitor who will oversee Vemma's operations and wil have access to all company records.

September 11, 2015 -- A former top earner at Vemma may have to give up millions of dollars in earnings after the Federal Trade Commission halted operations at Vemma late last month, pending a September 15 hearing.

Anthony Powell, a former distributor for Vemma, was singled out in a report by the temporary receiver appointed to oversee the company, which found that 42% of the complaints about Vemma were related to Powell's lead generation business, Global Pro System, which he used to promote his Vemma distributorship.

In prior shutdowns of MLM companies, receivers have initiated clawbacks against high earners. If Vemma is found to be a pyramid scheme at the hearing, Powell may be forced to turn over all of his profits (estimated to be as much as $10 million) from his time with Vemma.

Meanwhile, Vemma founder BK Boreyko, whose assets were frozen by the FTC, asked a federal court to release some of his funds so that he can pay alimony and child support. The filing by Boreyko's lawyers called the FTC's actions an "ambush" and stated that talks with the FTC to release funds for "ordinary and necessary family expenses and obligations" were denied, precipitating the court filing.

A copy of the sealed court order in the FTC action against Vemma was released today. The FTC accuses Vemma of:

Operating an illegal pyramid scheme

Falsely representing that members of the Vemma program ("affiliates") are likely to earn substantial income

Representing that individuals have earned substantial income from participating in the Vemma program and that consumers who become Vemma Affiliates have the ability to earn substantial income, while failing to disclose, or disclose adequately, that Vemma's structure insures that most consumers who become Vemma Affiliates will not earn substantial income; and

Providing the means and instrumentalities for the commission of deceptive acts and practices by furnishing Vemma Affiliates with promotional materials to be used in recruiting new participants that contain false and misleading representations.

An ex-parte application for temporary restraining order with asset freeze and appoint of a receiver was granted, freezing the assets of Vemma, CEO BK Boreyko, Tom Alkazin, and Bethany Alkazin.

Vemma Served with FTC Complaint

Vemma was served today with a complaint from the Federal Trade Commission. According to insiders, the complaint is related to Vemma's autoship program.

Vemma, headquarted in Utah and helmed by CEO BK Boreyko, was founded in 2004 and has expanded it's original Vemma product line with products like Verve, their highly successful energy drink.

In May, Vemma received the Better Business Bureau's top rating and is an accredited member of the organization. To attain this status, Vemma had to show that it is committed to making “a good faith effort to resolve any consumer complaints.” Businesses are not required to seek the BBB accreditation, which includes “monitoring for continued compliance and support of BBB services to the public,” according to the organization.

The FTC complaint will not be unsealed until Friday.

Vemma Recognized with Two Videographer Award s

TEMPE, Ariz. – August 6, 2015 – The Association of Marketing and Communication Professionals recognized Vemma Nutrition Company with two Videographer Awards for its newest videos launched at 2015 “Focus on Your Success” Vemma Training Convention.

Vemma’s “Living the Vemma Lifestyle” received an Award of Excellence, the highest Videographer Award recognition possible, for being a project that was “written, produced, shot and edited in an exceptional manner.” The association also awarded Vemma with the Award of Distinction, the second highest Videographer Award recognition possible, for its “2015 Vemma Convention Recap” video because it “exceeded industry standards."

Since their release at Vemma Training Convention in June 2015, the two videos have skyrocketed in views and shares. Vemma Founder & CEO BK Boreyko said the awards are well-deserved.

“Vemma’s videos are unmatched in this industry,” said Boreyko. “We are very proud to support our Affiliates with high-quality marketing materials, such as our videos, to help them share the Vemma message.”

The Videographer Awards received more than 1,300 entries for its annual contest. Less than 13 percent of all entries won the Award of Excellence and less than 14 percent received the Award of Distinction.

To date, Vemma has been recognized with more than 160 awards for its graphic design, communications, video and marketing projects.

Vemma Affiliates Pack Meals for Stop Hunger Now

PHOENIX, Ariz. — More than 300 Vemma affiliates descended on a large, empty room in the Phoenix Convention Center on a recent night to help pay it forward and provide meals to children halfway around the world as part of a special Stop Hunger Now event.

The two-hour event, organized by Vemma Nutrition Company, gave the affiliates a chance to dig in and put their hearts into action. More than 300 Affiliates lined long rows of tables, armed with plastic scoops, bags and buckets of rice, soy, vegetables, vitamins and minerals, the key components packed into each six-meal bag of food.

“These meals go to schools. When there’s food in school, kids go to school; girls go to school,” shared Karen Sanders Noe, director of corporate relations for Stop Hunger Now.

Vemma Founder & CEO BK Boreyko rolled up his sleeves and pitched in. He said he wasn’t surprised by the number of people who quickly signed up to help. “This is a visual confirmation of the quality of people who join Vemma,” said BK. “We attract the right people for the right reasons.”

The group achieved its goal of packing 60,000 meals to be shipped to one of 36 developing countries the organization supports. Vemma affiliates Brittany and Hank Harris of Kansas City said they were grateful Vemma organized the volunteer opportunity. “I was so excited to hear about this. I think it should happen at every Vemma Convention,” said Brittany. “This really brings everyone together and that’s huge.”

In all, Vemma raised funds to donate more than 100,000 meals for Stop Hunger Now during its annual campaign, which concluded at its 2015 Vemma Training Convention in Phoenix, Arizona June 11-13. Vemma will continue to accept donations from affiliates to help support children’s causes across the world through the Ben & Dottie Boreyko Foundation. Affiliates can add an amount to their monthly Auto-delivery or one-time orders or simply donate.
